Represented a National Drug Testing & DOT transportation compliance company in an aggressive acquisition (30) strategy to quickly increase its overall market share of the workplace safety solution and third-party administrator business in North America.

After successfully obtaining injunctive relief in district court to prevent continued use of company funds by business partners, represented clients in arbitration regarding allegations of breach of fiduciary duty and misappropriated company funds

Won a jury verdict for a homeowner against a designer she hired to provide interior design services. Although our client paid the designer for several decorative pieces, the designer failed to purchase the items and then refused to return our client’s money. The designer filed a counter-claim for the amount of money he alleged was still owed under the terms of the parties’ agreement. A unanimous jury rendered a verdict in favor of our client finding that the designer breached their agreement.

Represented private company in connection with acquisition of multiple parcels of developed and improved land (including an automotive repair and salvage yard site) in the vicinity of a Rail corridor located in the City of Houston, Harris County, Texas for expansion of light industrial and office headquarters, and resolve related title and survey issues and identify environmental concerns regarding same to accommodate the planning and re-development of acquired sites.

Served as lead M&A counsel for a fuel distribution company and its shareholders, two of which were father and son, on a complex recapitalization and refinance by a local based private equity company involving an equity sale, term and revolver credit facility refinances, significant seller financing, pre-closing reorganization, sizable rollover equity for some but not others of the shareholders, special escrow accounts for multiple special indemnities, and real estate work. Coordinated representation for multiple sellers receiving different consideration structures, requiring separate counsel for certain conflicts. Showcased multidisciplinary skills and coordinated a simultaneous signing/closing.

Represented a Houston-based real estate development company in formation and capitalization of three investment funds having raised in excess of $25 million though private offerings under Regulation D of the Securities Act of 1933.

Represented a privately held Houston-based business in its acquisition of a manufacturing company and affiliated distribution company. Handled negotiation and structuring involving cash, earnout, and stock consideration.
