Represented the borrower in a senior loan comprised of an $11,300,000 term loan and a revolving loan not to exceed $2,000,000 as well as a subordinated non-revolving $5,000,000 loan by a national veterinary medical service provider.

Representation of the founders and owners of a steel processing facility in the sale of substantially all of the assets of the business and lease of the related real property to a national steel distribution company.

After successfully obtaining injunctive relief in district court to prevent continued use of company funds by business partners, represented clients in arbitration regarding allegations of breach of fiduciary duty and misappropriated company funds

Successfully transferred case venue, then successfully obtained summary judgment dismissing all claims asserted against clients in a lawsuit involving allegations of fraud, breach of fiduciary duty related to beneficiary designations, institutional non-compliance, and intentional infliction of emotional distress

Represented Managed Pressure Operations, a developer of next generation technology for offshore managed pressure drilling systems for the oil and gas industry with subsidiaries in Houston, Singapore, Jakarta and Dubai, in the reorganization of its capital structure, including a $15 million capital infusion by a private equity group and its later acquisition by an affiliate of Aker Solutions.

Represented a client that provides offshore mooring systems for the energy industry in the acquisition of the equity of a provider of anchoring and mooring solutions and its subsidiaries. The complex cross-border transaction involved the acquisition of assets located on and entities domiciled in at least twelve different countries and negotiations of definitive agreements with legal counsel in Norway.

Represent national homebuilders in the negotiation and drafting of documents for the acquisition and development of undeveloped acreage and developed lots for master planned communities in the Houston, Dallas-Fort Worth, Austin and San Antonio market areas, including drafting and negotiation of contracts, easements, development and financing agreements, escrow and cost-sharing agreements for regional improvements between owners, and subdivision restrictions and property owners association formation.

Represented the City of Austin in the acquisition of a golf course for municipal use.

Represented a major oil and gas company in a breach of joint venture claim. The joint venture related to a fractionation facility and the joint venture partner’s failure to properly allocate funds. Two days after the opposing side answered the lawsuit filed on behalf of the client a settlement was reached which gave the client 100% of the relief requested in the petition.

Represented The Nature Conservancy and City of Austin in connection with the acquisition of over 2000 acres of land and conservation easements for open space preservation and water quality protection in ecologically sensitive Barton Creek watershed area.

Represented a dentist and her practice against claims by another dentistry practice for tortious interference. The plaintiff alleged the defendant tortiously interfered with a noncompetition agreement it had with another local dentist by conspiring to solicit patients in violation of the agreement. Successfully obtained an early dismissal in exchange for a nominal settlement payment.

Land acquisition, diligence, and entitlement for data center development using clean energy, including purchase contracts, utility contracts, and due diligence review.

Sale of certain assets related to design, manufacture and sale of water treatment products and operation of water treatment services for the oil and gas industry.

Represented the private company in connection with a merger into and stock exchange with a publicly traded company.

Defended real estate developer in a lawsuit involving breach of lease claims with claimed damages in excess of $16 million and asserted counterclaims involving property defects and fraudulent misrepresentations by seller; successfully defeated three summary judgment motions and the case settled on the eve of trial
